BOARD RECOMMENDATION TO MEMBERS: VOTE “NO” TO ALL FIVE RESOLUTIONS

Dear Members,

As your elected Board of Directors, we write to you with a united and clear recommendation regarding the five resolutions that have been proposed for consideration at the upcoming General Meeting on Sunday, 3 August 2025.

We strongly urge all members to vote “NO” to all five resolutions.
Following careful review, we believe that these resolutions are not in the best interests of the Club, its members, or its long-term future.

We are also pleased to advise that, following a recent member survey and further deliberation, the Board has unanimously resolved to give in-principle support to the $2 million de-amalgamation proposal submitted by Jervis Bay Community & Sports Club for the Vincentia site.

The Board remains united and committed to acting in the best interests of our members and the wider community.

Dear Members,
I am writing to share some exciting news regarding The Country Club Vincentia. At last night’s board meeting, we reached a significant decision that marks a positive step forward for the future of our Club and our members. The board has voted to pursue a de-amalgamation for The Country Club Vincentia. This decision allows our members the opportunity to have their say on the proposal, with a vote anticipated to take place in early 2025.
With an informal expression of interest already received, the club will now go through the required EOI process. The decision to move forward with this new direction reflects the board’s commitment to addressing the long-standing challenges at Vincentia and finding a viable path for the Club’s future. We see this as a moment of optimism and opportunity for all involved. By pursuing this course, we are taking proactive steps to resolve these issues and create a clearer, stronger direction for both St Georges Basin Country Club and Vincentia.
We understand the importance of Vincentia’s history and its role in the community. With that in mind, and as part of this renewed focus, I am pleased to announce that golf operations at Vincentia will recommence from 1 January 2025. This decision underscores our dedication to preserving and revitalising the golfing tradition at Vincentia, ensuring its facilities are available for members and visitors alike as we work through the de-amalgamation process.
While the upcoming vote will ultimately shape the path forward, the board firmly believes this proposal is an opportunity to resolve challenges that have persisted for far too long. It is a chance to unlock new potential and ensure a sustainable and thriving future for Vincentia, in alignment with the aspirations of our members and the broader community.
We encourage all members to stay informed and engaged as we approach this pivotal moment. Further details about the proposal and the voting process will be communicated in due course.

The Board of Directors of St Georges Basin Country Club deeply regrets to announce the immediate cessation of operations at The Country Club Vincentia, following the outcome of the General Meeting held yesterday. The resolution proposed to develop a small portion of the Vincentia land for a senior living community, aimed at ensuring the long-term viability of the Club's presence in Vincentia. Unfortunately, this resolution was voted against by the members.

We respect and acknowledge the decision made by our valued members. However, it is with a heavy heart that we must also confront the financial realities we face.

Over the years, the Vincentia premises have incurred significant financial losses, despite considerable efforts and substantial investments made to improve the Club's operations. These financial challenges have persisted, prompting the Club to bring in industry experts to explore viable opportunities. The proposed development was the only option with an acceptable level of risk, designed to secure a future for the Club in Vincentia with a brand-new clubhouse and quality 9-hole course for community enjoyment.

Regrettably, the Board has been left with no viable alternative to maintaining operations at the Vincentia premises. This decision reflects the financial constraints and the responsibility to protect the broader interests of St George’s Basin Country Club and its members.

We understand that this news will be met with disappointment and concern. The Vincentia premises have been a cherished part of our community, and its closure will be felt by many. We extend our heartfelt thanks to all of our members, staff, and the wider community for their support and patronage over the years.

Our focus now turns to assisting our staff and members during this transition. We will be in communication with those affected to offer support and guidance as we navigate the next steps together.

We appreciate your understanding and cooperation during this challenging time.

We invite you to join us on Thursday 22nd August for an Information Day, where you will have the opportunity to engage in a more personalised discussion regarding the core to non-core vote and the proposed senior living development project at The Country Club Vincentia.

During the event, you will have the chance to meet and discuss the project with representatives from Oakstand, the developer, as well as the Club President Bob Proudfoot, CEO Ben Clegg, and Assistant Manager Luke Hodges. This is a critical opportunity to ask questions, share your opinions, and better understand the details outlined in the notice you received earlier.

To accommodate everyone effectively, the event will be organised into a series of 1-hour sessions. These sessions will be held between 10:00 AM and 6:00 PM, and you can book a time slot that best suits your schedule.

As you know, the future of our club and its venues, particularly The Country Club Vincentia, is at a crossroads. The Board of Directors has put forward a resolution proposing to declare a portion of the land at Vincentia as non-core, which would allow us to explore a seniors living development.

This project aims to address the ongoing financial challenges that the Vincentia venue has faced for many years. We encourage you to attend this Information Day.
